End User License Agreement (EULA)

IMPORTANT — READ CAREFULLY

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Precious Ledgers, LLC, a Tennessee limited liability company (“Precious Ledgers,” “Company,” “we,” “us,” or “our”).

By installing, copying, accessing, or using the Precious Ledgers software (“Software”), you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. LICENSE GRANT

Subject to your compliance with this Agreement, Precious Ledgers grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal or internal business use.

This is a license, not a sale. All rights not expressly granted are reserved by Precious Ledgers.

2. SOFTWARE PROVIDED “AS IS”

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECIOUS LEDGERS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • ACCURACY, COMPLETENESS, OR RELIABILITY

  • NON-INFRINGEMENT

YOU ASSUME ALL RISKS ASSOCIATED WITH INSTALLATION AND USE, INCLUDING ANY RELIANCE ON OUTPUT GENERATED BY THE SOFTWARE.

3. NO FINANCIAL, TAX, OR LEGAL ADVICE

The Software is a record-keeping and organizational tool only.

  • It does not provide financial, investment, tax, accounting, or legal advice.

  • The Software is not certified, endorsed, audited, or approved by the IRS, any IRA custodian, or any government or regulatory authority.

  • Use of the Software does not guarantee compliance with tax, retirement, or investment regulations.

You agree to seek guidance from a licensed financial advisor, CPA, or attorney before making decisions based on information stored in or produced by the Software. Any decisions made based on information stored in or produced by the Software are made at the User’s sole discretion and risk.

4. DATA OWNERSHIP, PRIVACY, AND LOSS

  • All asset records, ledger entries, and financial data entered into the Software remain entirely local to your device.

  • Precious Ledgers does not collect, transmit, store, or access any ledger data created or maintained within the Software.

  • Because Precious Ledgers has no access to ledger data, we cannot restore, recover, or view such data under any circumstances.

You are solely responsible for:

  • Ledger data accuracy

  • Ledger data backups

  • Security of your system​

Carve-Out — Transactional and Licensing Data

Notwithstanding the above, Precious Ledgers may collect and retain limited transactional data solely for business and legal purposes, including:

  • Purchase records

  • Payment confirmations from third-party processors

  • License issuance and validation records

  • Email addresses used for delivery and support

  • Communications initiated by the user

This transactional data:

  • Does not include ledger contents or asset records

  • Is never shared with third parties except payment processors or service providers required to complete the transaction

  • Is not used for analytics, tracking, or advertising​

You agree that Precious Ledgers shall not be liable for data loss due to hardware failure, software conflicts, malware, ransomware, operating system issues, user error, or third-party actions.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRECIOUS LEDGERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES

  • FINANCIAL OR INVESTMENT LOSSES

  • LOST PROFITS OR BUSINESS INTERRUPTION

  • TAX PENALTIES OR REGULATORY CONSEQUENCES

  • DATA LOSS OR CORRUPTION

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID FOR THE SOFTWARE OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

6. LICENSE FILES, EXECUTABLE SHARING, AND PIRACY

  • The executable (.exe) file may be shared, but license files are issued only to the original purchaser.

  • License files may not be shared, sold, transferred, or sublicensed.

  • You agree not to host license files on websites, repositories, file-sharing platforms, or services for the purpose of unauthorized distribution or piracy.

  • Any attempt to bypass, alter, or defeat licensing mechanisms constitutes a material breach of this Agreement.

7. RESTRICTIONS

You may not, without prior written permission from Precious Ledgers:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code

  • Modify or create derivative works

  • Redistribute, sell, lease, or sublicense the Software

  • Use the Software in violation of applicable laws

​

8. NO GUARANTEE OF ACCURACY OR AVAILABILITY

  • Market prices, calculations, and valuations are informational only.

  • No guarantee is made regarding accuracy, timeliness, or continuity of features.

  • Features may change or be discontinued without notice.

9. ATTRIBUTION ON GENERATED DOCUMENTS

Documents, reports, receipts, or other materials generated using the Software may include a non-intrusive attribution indicating that they were generated using Precious Ledgers software (e.g., “Generated by Precious Ledgers”).

Such attribution does not imply ownership of the underlying transaction, endorsement, or participation by Precious Ledgers, LLC in the transaction itself, and shall not be considered advertising on behalf of the User.

Precious Ledgers reserves the right to include or modify such attribution as part of the Software’s standard output format. Such attribution is informational only and does not constitute an endorsement, certification, or representation of accuracy.

10. SELLER RESPONSBILITY AND THIRD-PARTY CLAIMS

The User is solely responsible for reviewing, verifying, and approving all data, calculations, totals, fees, taxes, and documents generated by the Software before providing them to any customer, counterparty, or third party.

Precious Ledgers, LLC is not a party to, and shall have no responsibility or liability for, any transaction between the User and any third party, including but not limited to customers, buyers, sellers, or counterparties.

The User agrees to indemnify and hold harmless Precious Ledgers, LLC from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to the User’s transactions, documents, or use of the Software. The User acknowledges that Precious Ledgers, LLC does not review, validate, or approve any transaction or document generated by the Software.

11. TERMINATION

This license is effective until terminated.

Precious Ledgers may terminate this Agreement immediately if you violate its terms, including but not limited to piracy or misuse of license files.

Upon termination:

  • All rights granted to you cease

  • You must discontinue use of the Software

​

12. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.

You agree that any legal action arising from this Agreement shall be brought exclusively in state or federal courts located in Tennessee.

13. SEVERABILITY

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

14. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Precious Ledgers regarding the Software and supersedes all prior agreements or understandings.
